Terms of Service
Last updated: 11 October 2026 · Version 2.1
These Terms of Service (the "Terms") constitute a legally binding agreement between you ("you" or the "User") and Finikos S.r.l. ("Finikos", "we", "us" or "our"), a company incorporated under the laws of Italy, with registered office at Via Francesco Ostermann 6/7, 33033 Codroipo (UD), Italy, VAT IT03189520301, governing your access to and use of the Space Context mobile application, the Space Context developer platform and the related services (together, the "Service"). Please read these Terms carefully. They contain provisions that limit our liability, allocate risk to you and govern how disputes are resolved.
1. Acceptance, eligibility and capacity
By downloading, installing, accessing or using the Service, or by clicking to accept these Terms where that option is presented, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, you must not access or use the Service. You represent that you are at least 18 years old, or the age of majority in your jurisdiction, and that you have the legal capacity to enter into these Terms. If you use the Service on behalf of an organisation, you represent that you are authorised to bind that organisation, in which case "you" refers to that organisation.
2. Definitions
- "App" means the Space Context application for iOS and any updates, upgrades and successor versions.
- "Content" means any video, audio, image, text or other material that you record, upload, submit or otherwise make available through the Service.
- "Output" means the inventories, condition assessments, transcripts, structured data, reports and answers generated by the Service from your Content.
- "Pro" means the auto-renewable Space Context Pro subscription.
- "Credits" means the consumable scan entitlements that may be purchased within the App.
- "App Store" means Apple's App Store, and "Apple" means Apple Inc. and its relevant subsidiaries.
- "Developer Platform" means the developer console, the Space Context API, the SDK, the command-line tool, the MCP server, the Agent Skill and the documentation described in Section 23.
- "API Key" means a key that gives access to the Developer Platform, as described in Section 24.
- "Balance" means the prepaid balance in US dollars that pays for live scans on the Developer Platform, as described in Section 27; "credit" means the amount available on it, which is distinct from Credits.
3. Relationship with Apple and the App Store
The App is distributed through the App Store and is licensed, not sold, to you. These Terms are concluded between you and Finikos only, and not with Apple. Your use of the App is also subject to the Apple Media Services Terms and Conditions and the usage rules set out therein. The Apple-specific provisions in Section 22 form part of these Terms. To the extent of any conflict between these Terms and the Apple terms with respect to your use of the App, the relevant Apple terms will govern solely to that extent. The Developer Platform is provided directly by Finikos and not through the App Store; the Apple terms and Section 22 do not apply to it.
4. Licence grant and reservation of rights
Subject to your continuous compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable and revocable licence to download and use one copy of the App on an Apple-branded device that you own or control, and to use the Service, solely for your own internal and lawful purposes. All rights not expressly granted to you are reserved by us and our licensors.
5. Licence restrictions
You agree that you will not, and will not permit any third party to:
- copy, modify, adapt, translate or create derivative works of the Service, except as expressly permitted by law;
- reverse engineer, decompile, disassemble or otherwise attempt to derive the source code, underlying ideas or algorithms of the Service, except to the limited extent that applicable law expressly permits despite this limitation;
- rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer or otherwise make the Service available to any third party, or use it to provide services to third parties on a service-bureau basis;
- remove, obscure or alter any proprietary notice, label or mark;
- access or use the Service to build or train a competing product or service, or to benchmark it without our prior written consent;
- use any robot, scraper, crawler or other automated means to access the Service, or circumvent, disable or interfere with any security, rate-limiting or access-control feature;
- introduce any virus, malware or harmful code, or use the Service in a manner that could damage, disable, overburden or impair it; or
- use the Service in violation of any applicable law, regulation or third-party right.
Use of the Developer Platform as permitted by Section 23 is not a breach of this Section.
6. Accounts and registration
To use certain features you must create an account through Apple, Google or email-based one-time codes (in the developer console, also through GitHub). You agree to provide accurate and current information and to keep it updated. You are responsible for maintaining the confidentiality of your credentials and your device, and for all activity that occurs under your account. You must notify us promptly of any unauthorised use or suspected breach of security. We may refuse, suspend or terminate accounts in accordance with these Terms.
7. Your Content and your warranties
As between you and us, you retain all rights in and to your Content. You grant us, and our sub-processors acting on our behalf, a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, process, transmit, transcode, analyse and create Output from your Content, solely to the extent necessary to operate, provide, secure, maintain and improve the Service and to comply with law. This licence ends when the relevant Content is deleted, except for residual copies retained for a limited period for backup, security or legal-compliance purposes.
You represent and warrant that: (a) you own or have all necessary rights, licences, consents and permissions in your Content and to grant the licence above; (b) you have obtained all authorisations and provided all notices required to record the relevant premises and any persons, voices, images or property appearing in the Content; (c) your Content and our processing of it do not and will not infringe or misappropriate any third party's intellectual-property, privacy, image, publicity, confidentiality or other rights, or violate any law; and (d) your Content does not contain unlawful, defamatory or harmful material. You are solely responsible for your Content and for the lawfulness of capturing and processing it.
8. Artificial intelligence and Output; no professional advice; assumption of risk
The Service uses artificial-intelligence systems to generate Output from your Content. You acknowledge and agree that: (a) the Output is produced by automated probabilistic systems, is provided for informational and productivity purposes only, and may be inaccurate, incomplete, outdated or otherwise unsuitable for your purposes; (b) the Output does not constitute, and must not be relied upon as, professional advice of any kind, including legal, financial, insurance, valuation, tax, structural, surveying, safety or real-estate advice; (c) you are solely responsible for reviewing, verifying and validating any Output before relying on or acting upon it, and for any decision you make on its basis; and (d) you assume all risk arising from your use of, or reliance on, the Output. We do not warrant that the Output is accurate, complete, reliable or fit for any particular purpose, and we disclaim all liability for decisions made or actions taken in reliance on it, to the maximum extent permitted by law.
9. Acceptable use
In addition to the restrictions in Section 5, you agree not to use the Service to: record or process any space, person or property without the necessary rights or authorisations; engage in unlawful surveillance or stalking; infringe the rights of others; harass, threaten or harm any person; process special categories of personal data without a valid legal basis; or otherwise act in a manner that is unlawful, fraudulent, deceptive or harmful. You are responsible for ensuring that your use of the Service complies with all laws applicable to you, including data-protection, privacy and property law.
10. Fees, subscriptions, auto-renewal and billing
This Section concerns purchases in the App; payments on the Developer Platform are governed by Sections 26 to 30. The App offers Credits (one-time, consumable purchases) and the auto-renewable Space Context Pro subscription. Indicative pricing is:
- Pro Monthly: 9.99 EUR per month, billed for a one-month period.
- Pro Annual: 69.99 EUR per year, billed for a one-year period, with a 7-day free trial for eligible new subscribers.
All purchases in the App are processed by Apple through your App Store account. We do not receive or process your payment-card details. The following apply:
- Billing. Payment is charged to your Apple account at confirmation of purchase and, for subscriptions, at the beginning of each renewal period.
- Auto-renewal. Subscriptions renew automatically at the then-current price for the same period unless auto-renewal is turned off at least 24 hours before the end of the current period. You can manage and turn off auto-renewal in your Apple account settings after purchase.
- Price changes. We may change prices and the composition of plans and Credits. For auto-renewing subscriptions, price changes apply to subsequent renewal periods and, where Apple requires your consent to a price increase, the subscription will not renew at the increased price without that consent.
- Taxes. Prices may vary by country and include or exclude applicable taxes as indicated at the point of sale.
- Free trials. Where a free trial is offered, any unused portion is forfeited upon purchase of a subscription to which the trial relates.
- Entitlements. Credits and subscription benefits are licences to use features, have no monetary value, are non-transferable and, except where required by law, are non-refundable and non-exchangeable.
11. Right of withdrawal and refunds
This Section concerns purchases in the App; for the Balance of the Developer Platform, see Section 28. If you are a consumer in the European Union, you have a statutory right to withdraw from a purchase of digital content within 14 days without giving any reason. However, by purchasing and accessing digital content (including Credits, subscriptions and Output generation) you expressly request that performance begin immediately and you acknowledge that you lose your right of withdrawal once performance has begun, in accordance with Article 16(m) of Directive 2011/83/EU and Article 59 of the Italian Consumer Code. Requests for refunds are handled by Apple in accordance with the App Store terms; we do not control and are not responsible for Apple's refund decisions. Nothing in this Section limits any mandatory refund or remedy to which you are entitled under applicable law.
12. Intellectual property; feedback
The Service, the App, and all software, designs, text, graphics, trademarks, logos and other materials made available through them (excluding your Content) are owned by Finikos or its licensors and are protected by intellectual-property laws. Except for the limited licence in Section 4, no rights are granted to you. "Space Context" and "Finikos" and associated logos are our trademarks and may not be used without our prior written consent. If you provide suggestions, ideas or feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use and exploit them for any purpose without restriction or compensation.
13. Third-party services and availability
The Service depends on, and interoperates with, third-party services, including Apple, Google, GitHub, Stripe, the facilitator of x402 payments and our cloud hosting, AI processing and email providers. We are not responsible for the acts, omissions, availability, accuracy or content of any third-party service, and your use of them may be subject to their own terms. The Service is provided on an "as available" basis. We do not warrant that the Service will be uninterrupted, timely, secure or error-free, and we may modify, suspend or discontinue all or part of the Service, including any feature or third-party dependency, at any time, to the extent permitted by law.
14. Disclaimer of warranties
To the maximum extent permitted by applicable law, the Service and the Output are provided "as is" and "as available", with all faults and without warranties of any kind, whether express, implied, statutory or otherwise. We expressly disclaim all implied warranties of merchantability, fitness for a particular purpose, title, accuracy and non-infringement, and any warranties arising from course of dealing or usage of trade. We do not warrant that the Service will meet your requirements, that defects will be corrected, or that the Service or its supporting infrastructure is free of viruses or other harmful components. No advice or information obtained from us or through the Service creates any warranty not expressly stated in these Terms. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you; in that case the relevant warranties are limited to the minimum scope and duration permitted by law.
15. Limitation of liability
To the maximum extent permitted by applicable law:
- we (together with our directors, officers, employees, agents, suppliers and licensors) will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, goodwill, data, business or anticipated savings, or for the cost of substitute services, arising out of or in connection with the Service or these Terms, whether based in contract, tort (including negligence), statute or otherwise, and even if we have been advised of the possibility of such damages;
- our total aggregate liability for all claims arising out of or in connection with the Service or these Terms will not exceed the greater of (i) the total amounts you actually paid to us, or through the App Store for the App, in the 12 months immediately preceding the event giving rise to the liability, or (ii) 50 EUR.
Nothing in these Terms excludes or limits our liability where it cannot be excluded or limited under applicable law, including liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, for wilful misconduct (dolo) or gross negligence (colpa grave), or any mandatory liability towards consumers. If you are a consumer, the limitations in this Section apply only to the extent permitted by mandatory consumer-protection law, and your statutory rights are not affected. The allocation of risk in these Terms reflects the price paid for the Service and is an essential basis of the bargain between us.
16. Indemnification
To the maximum extent permitted by applicable law, you agree to defend, indemnify and hold harmless Finikos and its directors, officers, employees, agents, suppliers and licensors from and against any and all claims, demands, actions, proceedings, liabilities, damages, losses, costs and expenses (including reasonable legal fees) arising out of or in connection with: (a) your Content, including the capture, upload or processing of it; (b) your use or misuse of the Service; (c) your breach of these Terms or of any representation or warranty herein; or (d) your violation of any law or of the rights of any third party. We may, at our option, assume the exclusive defence and control of any matter subject to indemnification, in which case you agree to cooperate with us. This Section survives termination of these Terms. If you are a consumer, this obligation applies only to the extent you have acted intentionally or negligently and is limited as required by mandatory law.
17. Suspension and termination
You may stop using the Service and delete your account at any time (Settings, then Delete account). We may suspend or terminate your access to the Service, in whole or in part, with or without notice, if: you breach these Terms; we are required to do so by law; or your use poses a security, legal or operational risk. Upon termination, the licences granted to you end and you must cease using the Service. Sections that by their nature should survive termination (including Sections 7, 8, 12, 14, 15, 16, 20, 21, 28, 29 and 33) will survive. Termination does not entitle you to any refund except as required by mandatory law or, for the Balance of the Developer Platform, as provided in Sections 28 and 34, and any subscription will otherwise continue to be governed by your App Store settings until it expires.
18. Changes to the Service and to these Terms
We may modify the Service and these Terms from time to time, for example to reflect changes in the Service, technology, our service providers or legal requirements. The "Last updated" date indicates when the Terms were last revised. For material changes we will provide reasonable notice within the App or by other appropriate means. Your continued use of the Service after the changes take effect constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, your remedy is to stop using the Service and, where applicable, cancel your subscription and delete your account. Where mandatory consumer law applies, changes that materially affect you will not be imposed without your right to terminate.
19. Force majeure
We will not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including acts of God, natural disasters, epidemics, war, terrorism, civil unrest, governmental action, labour disputes, failures or interruptions of telecommunications, internet, hosting, energy or third-party services, cyber-attacks, or any other event of force majeure. This Section does not affect your mandatory rights as a consumer.
20. General provisions
- Assignment. You may not assign or transfer these Terms or any rights or obligations under them without our prior written consent. We may assign or transfer these Terms, in whole or in part, to an affiliate or in connection with a merger, acquisition, reorganisation or sale of assets.
- Entire agreement. These Terms and the documents referenced in them constitute the entire agreement between you and us regarding the Service and supersede all prior or contemporaneous understandings.
- Severability. If any provision is held to be invalid or unenforceable, it will be modified to the minimum extent necessary, or severed, and the remaining provisions will remain in full force and effect.
- No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
- Notices. We may provide notices to you within the App or the developer console, by email or by posting on our website. You may contact us at the addresses set out in Section 35.
- Language. These Terms may be made available in more than one language. In case of discrepancy, and unless mandatory law provides otherwise for consumers, the Italian version prevails for users resident in Italy and the English version prevails for all other users.
- No partnership. No agency, partnership, joint venture or employment relationship is created by these Terms.
21. Governing law, jurisdiction and dispute resolution
These Terms, and any non-contractual obligations arising out of or in connection with them, are governed by the laws of the Republic of Italy, excluding its conflict-of-laws rules and the United Nations Convention on Contracts for the International Sale of Goods. Before commencing any proceedings, the parties will attempt in good faith to resolve any dispute amicably by contacting support@finikos.it.
If you are not acting as a consumer, the courts of Udine, Italy, will have exclusive jurisdiction over any dispute arising out of or in connection with these Terms. If you are a consumer, the mandatory rules of your country of habitual residence apply, this choice of law does not deprive you of the protection afforded by provisions that cannot be derogated from by agreement, and the competent court is that of your place of residence or domicile. The European Commission's online dispute resolution platform is available at ec.europa.eu/consumers/odr. We are not obliged to, and do not undertake to, participate in proceedings before an alternative dispute-resolution body unless required by law.
22. Apple App Store terms
The following terms apply to your use of the App obtained through the App Store and, in the event of any conflict with the rest of these Terms in this respect, prevail to the extent of the conflict:
- These Terms are concluded between you and Finikos only, and not with Apple. Finikos, not Apple, is solely responsible for the App and its content.
- The licence granted to you is limited to a non-transferable licence to use the App on any Apple-branded products that you own or control, as permitted by the Usage Rules set out in the Apple Media Services Terms and Conditions.
- Apple has no obligation to furnish any maintenance or support services with respect to the App. Maintenance and support, if any, are provided solely by Finikos as described in our support resources.
- In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) of the App to you; to the maximum extent permitted by applicable law, Apple has no other warranty obligation with respect to the App, and any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty are the sole responsibility of Finikos.
- Finikos, not Apple, is responsible for addressing any claims by you or any third party relating to the App or your possession or use of it, including product-liability claims, claims that the App fails to conform to any applicable legal or regulatory requirement, and claims arising under consumer-protection, privacy or similar legislation.
- In the event of any third-party claim that the App or your possession and use of it infringes that third party's intellectual-property rights, Finikos, not Apple, will be solely responsible for the investigation, defence, settlement and discharge of any such claim.
- You represent and warrant that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
- You must comply with applicable third-party terms of agreement when using the App.
- Apple and Apple's subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.
23. The Developer Platform
The Developer Platform lets you, and the software and AI agents you use, create structured records of physical spaces from photos and videos, and read, search and query them. It consists of: the developer console at spacecontext.app/developers/console; the Space Context API; the TypeScript SDK and the command-line tool spacecontext; the MCP server, through which AI assistants connect to your spaces; the Agent Skill, which tells AI agents how to use Space Context; and the documentation at spacecontext.app/developers/docs (the "documentation").
The Developer Platform uses the same account as the App, and the spaces you scanned with the App can be read through it at no extra cost. Purchases stay separate: Credits and Pro are bought in the App through Apple and are not used on the Developer Platform, and the Balance pays only for live scans of the Developer Platform and cannot be used in the App.
Sections 23 to 34 apply to the Developer Platform in addition to the rest of these Terms and, for the Developer Platform, prevail in case of conflict; Sections 10, 11 and 22 concern the App only. The documentation describes how the Developer Platform works, its limits and its billing, including the billing terms summarised on its Billing page; if it differs from these Terms, these Terms prevail.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable and revocable right to access the Developer Platform with your API Keys and to use it to build, test and run your own applications, integrations and agents, including those you offer to your own customers, notwithstanding the limitation to your own internal purposes in Section 4. The SDK, the command-line tool and the MCP server package are published under the MIT open-source licence, which governs their code; these Terms govern the Service they connect to. You may not resell, share or sublicense your API Keys, nor offer to third parties access to the API as such or a service substantially similar to it.
24. Developer accounts and API Keys
- Sign-in. You sign in to the developer console with Apple, Google, GitHub (with its primary verified email address) or a one-time code sent by email. Your account is identified by its email address: the same address reaches the same account, in the console and in the App. In the console you act as the account holder, with every permission. Section 6 applies.
- API Keys. The API, the SDK, the command-line tool and the MCP server act through API Keys. A key is either a test key (
sc_test_…) or a live key (sc_live_…), and its scopes limit what it can do:spaces:read,scans:read,scans:writeand, only if you choose it,spaces:sensitive, which gives access to values such as Wi-Fi passwords and door or alarm codes, to transcripts and to past scans of the spaces scanned with the App. A key is shown once, and we keep only a hash of it. Keys you create in the console, keys you approve for a terminal and keys created when you connect an AI assistant are all keys of your account. A live key can have a monthly spending cap. - Your responsibility. You must keep your API Keys and console sessions confidential and give each application, agent or assistant only the scopes it needs. You are responsible for everything done with your API Keys and console sessions, including the live scans they start and their cost, and for the acts of the applications, AI agents and assistants to which you give a key or which you connect to your account, as if you had performed them yourself, except to the extent that a misuse is caused by our breach of these Terms. What you let them read is sent on your instructions to recipients you choose, as the Privacy Policy explains.
- Exposed keys. If a key may have been exposed, revoke it in the console at once, with immediate effect, and tell us. Live scans started with a key before it is revoked are charged like any other, unless they fail. We may revoke or suspend a key that we have reason to believe is exposed or misused, and we will tell you.
25. Test mode and live mode
Test keys, and the Test mode of the console, are free and need no card. They work on the demo space and on spaces created with test keys: test scans complete at once, return the content of the demo space, call no AI model and are never charged. The demo space is made of two real scans of an apartment in Brisbane; its photos are by Chris Olszewski and licensed under CC BY-SA 4.0, with the attribution in the description of the space, and its narration is invented. Test mode is meant for development and testing; its data is kept and deleted as described in the Privacy Policy.
Live keys, and the Live mode of the console, work on your real spaces: their scans ("live scans") are analysed by our AI systems and are paid as described in Sections 26 and 27. Test and live data never mix: a test key never sees your real spaces, and a live key does not see the demo space.
26. Prices and the free scan
- What is charged. Only live scans are charged. Reading, searching, querying and comparing your spaces, exporting them, and checking frames within the daily limits are included at no charge.
- Price of a live scan. Each live scan costs the price in US dollars published on the pricing page, which the console, the API and the MCP server make available before a scan starts. A live scan is charged once, when it starts, at the price in force at that moment: first to the free scan, if the account has one, and otherwise to the Balance. If neither covers it, the scan does not start and nothing is charged. The monthly spending cap of a live key, if set, also stops a scan that would exceed it.
- The free scan. Each account starts with one free live scan. Like any live scan, it needs a card on file (Section 27). Each card unlocks the free scan once: if the card you save, or pay a top-up with, has already unlocked a free scan, on your account or on any other account, including a deleted one, the unused free scan of your account is withdrawn, unless a card new to us has already unlocked it. A free scan already used is never taken back, and nothing is charged when one is withdrawn. A free scan that fails is given back. Accounts opened by the payment of an AI agent (Section 30) have no free scan. The free scan has no cash value, and we may change or end this offer for new accounts.
- Price changes. We may change the price of live scans for future scans only. We will announce an increase on the pricing page and by email to the address of your account at least 30 days before it applies; a decrease may apply at once. A scan is always charged at the price in force when it starts, and credit already on the Balance keeps its value in US dollars. If you do not accept an increase, you may stop using the Developer Platform and ask us, before the increase applies, to refund the unused credit on your Balance.
- Amounts, taxes and invoices. Prices and top-up amounts are exclusive of taxes. Where a tax such as VAT, GST or sales tax applies, it is added on top: on the payment page, which shows the total charged to your card, and on automatic top-ups. The Balance is credited the amount before tax, and a refund to your card includes the tax on the refunded amount. Whether tax applies depends on your billing address and, for a business, on a valid tax ID (for example, a business in another EU country is invoiced under the reverse charge). Your bank may charge its own fees, for example for currency conversion, which are yours to bear. Every top-up paid by card comes with an invoice, for which you give your billing address and, for a business, your tax ID, in the console or on the payment page; payments by AI agents (Section 30) come with no invoice.
27. The Balance, top-ups and the card on file
- The Balance. Live scans are paid from a prepaid Balance in US dollars. The Balance is an advance payment for live scans of the Developer Platform: it is not a deposit or electronic money, earns no interest, has no cash value except for the refunds set out in Sections 26, 28 and 34, cannot be transferred to another account or exchanged, and cannot be used in the App. Credit on the Balance does not expire. Every movement (top-ups, scans, refunds, free scans, card refunds and disputes) is recorded in the ledger shown in the console, and the Balance is always the sum of the ledger. If you find an error, tell us.
- Top-ups. You add credit in the console, by card, on a payment page of Stripe, which processes payments on our behalf; we never see or store full card numbers. A top-up is from US$10 to US$500, in US dollars. The first time you add credit or save a card, you accept these Terms and the billing terms by ticking a box in the console. Your later top-ups and card changes under the same version of the terms are made under that acceptance, and each payment page repeats the terms next to its pay button; when the terms change, the box is shown again. Each payment records both your acceptance and the payment you started under it. The credit is added to the Balance as soon as Stripe confirms the payment. Your bank may ask you to confirm the payment with 3-D Secure, and the payment appears on your statement as FINIKOS* SPACECONTEXT.
- Card on file. Live scans, and live keys that can start them (scope
scans:write), need a card on file: a card saved in the console on a Stripe page, where nothing is charged, or a top-up already paid. Test keys and read-only live keys never need one. The card is kept by Stripe. A new card replaces the previous one, which is removed from Stripe. You can remove the saved card at any time in the console: this also turns automatic top-up off, and does not revoke your keys. - Automatic top-up. Automatic top-up works only if you turn it on, with a saved card, choosing a threshold and an amount from US$10 to US$500. By turning it on you authorise us to charge that amount to the saved card, without you being present, whenever the Balance falls below the threshold or cannot pay for the next scan: two charges are at least 10 minutes apart, with at most 3 in 24 hours. You can turn it off at any time in the console (Billing), with effect for every later charge, or by removing the saved card. If the bank declines the card, or a payment is disputed, automatic top-up turns itself off and the console shows why.
- How scans use credit. A live scan is charged when it starts (Section 26). A scan that fails, for example because the video is unreadable or too long, nothing usable is recognised, processing fails or it takes more than 2 hours, is refunded to the Balance automatically and only once, and its files are deleted. A scan cancelled before it starts is never charged. A completed scan is not refunded automatically: if you believe its result is not in conformity, contact us; your statutory remedies are not affected.
- Balance below zero. The Balance can go below zero only when a top-up whose credit was used is refunded or disputed. While it is below zero, paid live scans cannot start, and the amount below zero, which corresponds to scans you received whose payment was reversed, remains due.
28. Right of withdrawal and refunds of the Balance
- Withdrawal within 14 days. If you are a consumer, you may withdraw from each top-up of the Balance, including an automatic top-up, within 14 days of the day it is paid, without giving any reason, under Directive 2011/83/EU and Articles 52 to 59 of the Italian Consumer Code (Legislative Decree No. 206/2005). To withdraw, send a clear statement to support@finikos.it before the period ends, naming the top-up (its date and amount are enough). You may use the model withdrawal form of the Directive (Annex I, Part B), but you do not have to.
- What is refunded. When you pay, you ask for the credit to be supplied at once, so that the scans you start can use it during the withdrawal period. If you withdraw, we refund the credit of that top-up not yet used: its amount or, if lower, the Balance on the day we receive your withdrawal. Credit already used for scans that started before then pays for a service supplied at your request and is not refunded, in accordance with Article 14(3) of the Directive and Article 57(3) of the Consumer Code. We make the refund to the payment method you used, at no cost to you, within 14 days of the day we receive your withdrawal, and the amount refunded is taken from the Balance.
- After the withdrawal period. Outside the withdrawal period, or if you are not a consumer, credit on the Balance is not refunded, except where the law requires it (including your remedies for a service that is not in conformity), in the cases set out in Sections 26, 32 and 34, or where we agree to refund unused credit at your request, which we may do at our discretion.
- Before you delete your account. Deleting your account permanently deletes the Balance together with the other data of the Developer Platform, and does not refund it automatically. Before deleting an account that has credit, use it or ask support for a refund of the unused credit: we refund it where these Terms or the law require it. Deleting the account does not affect a withdrawal you send within the period in item 1.
29. Payment disputes and chargebacks
- Contact us first. If a charge looks wrong, a failed scan was not refunded, or you want to withdraw or ask for a refund, write to support@finikos.it before contacting your bank: we can usually solve it faster. Nothing in this Section limits your rights towards your bank or under the law.
- What a dispute does to the Balance. If a payment is disputed with your bank (a chargeback), the disputed amount is taken from the Balance while the dispute is open, which can bring the Balance below zero, and automatic top-up is turned off. If the dispute is decided in our favour, the amount is given back to the Balance. A request for information from the bank that is not a chargeback does not change the Balance. A refund of a top-up, by us or through Stripe, is also taken from the Balance.
- Evidence. To answer a dispute or a request for information, we send Stripe, which passes it on to the card issuer, the records we keep: when you accepted the billing terms, their version and the IP address you accepted them from; the payment; your email address and name; and the activity of your account from 30 days before the payment onwards (sign-ins, keys created, payments and cards, scans charged and refunded). For an automatic top-up, we refer to the acceptance given on the page that saved the card and to when you turned automatic top-up on. If the account has been deleted, we use only what Stripe keeps with the payment and the deletion record. The Privacy Policy (Section 5) describes this processing.
- Disputes we consider unfounded. If you dispute a payment that you made or authorised and whose credit has been used, we may suspend the live scans, top-ups and live keys of the account until the dispute is closed and any amount due under Section 27 has been paid; if such disputes are repeated or fraudulent, we may terminate your access to the Developer Platform under Section 34. Unless there are signs of fraud, we will tell you before suspending and give you the opportunity to explain.
30. Payments by AI agents (x402)
- How it works. An AI agent with a crypto wallet can buy credit without an account, by paying in USDC through the x402 protocol (
POST /v1/agent/credits), from US$1 to US$500 per payment. The address of the paying wallet identifies a technical account: the first payment from a wallet opens it, and later payments add to its Balance. Whoever controls the paying wallet, and on whose behalf the agent acts, is the customer of that account and accepts these Terms by making the payment. - Test networks, Base and Solana. A payment on a test network, such as Base Sepolia or Solana devnet, is not money: it gives only the account's test key (demo data, no AI model, no charges) and adds no credit. A payment settled in USDC on Base or on Solana (mainnet) adds the same amount in US dollars to the Balance, one cent of credit for each cent paid, and is treated like a top-up: it counts as a card on file, the credit follows Sections 27 and 28, and the account receives a live key with it. Accounts opened this way have no free scan. A wallet on Base and a wallet on Solana open two separate accounts.
- Keys. The text of the key is returned only by the payment that opens the account; later payments return only its prefix. A key is replaced only by a request authenticated with the current key of that mode, and the first key of the other mode only with a current key of the account. We keep only a hash of keys and cannot show them again: keep them safe. An account opened by an agent has no access to the console.
- Payments are final. A payment on a blockchain is final and cannot be reversed, cancelled or charged back, by us or by you. Before a payment is settled we check it against our payment requirements and refuse one that does not meet them; a payment sent to another address, on another network or in another asset does not reach us. If a payment was settled but its credit or key did not arrive, write to support with the transaction identifier: we check it on the blockchain and book it by hand. Where these Terms or the law give a right to a refund, we pay it in USDC, on the same network, to the wallet that made the payment, and we may ask you to prove that you control it.
31. Acceptable use of the Developer Platform; limits
Sections 5 and 9 apply to the Developer Platform. In addition, you agree that you will not, and will not let your applications or agents:
- scan a space that you do not own or have the right to record and to have analysed, with any permission of its owner and occupants that the law requires;
- use the Developer Platform to film, identify, track or profile people: personal data of people may appear in your Content only incidentally, and special categories of personal data only with a valid legal basis (Section 7 and the Privacy Policy);
- bypass or defeat the rate limits, daily caps, spending caps, the card requirement, the rule of one free scan per card, the redaction of sensitive values or any other security or anti-abuse control, for example by opening several accounts or using cards that are not yours to obtain more free scans;
- access, or try to access, the spaces, keys, accounts or data of others; security research is welcome only on your own data, and vulnerabilities are reported to support@finikos.it with "Security" in the subject;
- deliberately place in your Content text meant to give instructions to AI agents or models, or use the Developer Platform to attack the agents of others;
- register webhook endpoints on hosts you do not control, or use the Developer Platform to send unsolicited traffic to third parties; or
- share, publish or resell your API Keys.
The Developer Platform has limits, published on the limits page of the documentation: among them, requests per minute per key and per IP address, daily caps on searches, questions and frame checks, the number of scans processing at once and the size of uploads. A request beyond a limit is refused without charge. We may change the limits; we will give reasonable notice of a reduction that affects your use, except where it is needed for security or to prevent abuse. You may ask for higher limits.
32. Availability and changes of the API
- Versions. The API carries its version in its path (
/v1). Within a version we may make backward-compatible changes at any time and without notice, such as new endpoints, new fields in responses, new optional parameters, new error codes, event types or scopes: your integration should ignore what it does not know. - Incompatible changes. We will announce in the documentation and by email to the address of your account, at least 60 days in advance, any change to a version that is not backward-compatible and the removal of an endpoint or of a version, except where a shorter period is needed for security, to comply with the law or because of a change by a third-party provider that we do not control; in that case we will give as much notice as we reasonably can.
- Availability. Section 13 applies: the Developer Platform is provided "as available", without a service-level commitment, and the processing times shown are indicative. The demo space and the documentation may change at any time.
- Discontinuation of the Developer Platform. If we stop offering the Developer Platform, we will give at least 60 days' notice by email and refund the unused credit on your Balance.
33. Your Content, Space Documents and AI outputs
- Your Content. Section 7 applies to the photos, videos, transcripts and other material you send through the Developer Platform: you keep your rights in them and give us only the licence needed to provide the Service. Source videos are deleted once their frames and audio have been extracted; the rest is kept and deleted as described in the Privacy Policy, and you can delete a space at any time.
- Output. Space Documents (the structured records of a space returned by the API), answers, search results, exported Agent Skills, comparisons between scans and the other results of the Developer Platform are Output, and Section 8 applies to them. As between you and us, you may use the Output generated from your Content for any lawful purpose, including in your own products and services.
- AI outputs can be wrong. Outputs are produced by AI models and may miss items, describe them wrongly or misread their condition; an item not seen in a scan is not necessarily gone. The marking and hiding of sensitive values (such as passwords and codes) is automated and may miss a value or hide too much: decide carefully which keys get the
spaces:sensitivescope, check what you share, and do not rely on redaction as your only protection. - Text addressed to AI in footage. Signs, notes or words in a video can contain instructions addressed to AI agents. The Developer Platform treats everything a space contains as data, never as instructions: text it recognises as such is withheld from documents, answers, search and the models it uses, and noted in the document. This is a safety net, not a guarantee: the agents you use should still treat content from the physical world as untrusted, and you remain responsible for what they do.
- Personal data of your customers. If you use the Developer Platform to process the Content of your own customers or users, you are responsible towards them for the lawfulness of that processing, and we process the personal data in that Content on your instructions, as described in Section 7 of the Privacy Policy. If you need a separate data-processing agreement, write to privacy@finikos.it.
- Third-party claims. Sections 15 and 16 also apply to claims by your customers, your users or other third parties relating to the applications and agents you build or run with the Developer Platform.
34. Suspension and termination on the Developer Platform
- By you. You can revoke keys, remove your saved card, turn off automatic top-up and delete spaces at any time, and stop using the Developer Platform. You can delete your account in the App (Settings, then Delete account) or by asking support: this deletes the data of the Developer Platform, including the Balance (see Section 28), and we ask Stripe to remove your saved card.
- By us. In addition to the cases in Section 17, we may suspend a key, live scans, top-ups or your access to the Developer Platform, or terminate that access, if you breach Section 24 or 31, if a payment is disputed as described in Section 29, if the Balance remains below zero, if Stripe or the law requires it, or if your use creates a security risk for the Service or for others. Unless the matter is urgent, the law prevents it or there are signs of fraud, we will tell you in advance, explain why and give you a reasonable opportunity to remedy. A suspension lasts only as long as its reason.
- Unused credit. If we terminate your access to the Developer Platform for a reason other than your breach of these Terms, or stop offering it, we refund the unused credit on your Balance. If we terminate it because of your breach, we refund the unused credit less any amounts you owe us under these Terms. Refunds are made to the payment method used or, for payments made through x402, as described in Section 30.
